By accessing or using CartRank (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including Shopify merchants who install our app.

2. Description of Service

CartRank provides a Generative Engine Optimization (GEO) platform that helps ecommerce brands track their visibility across AI-powered search engines including ChatGPT, Perplexity, and Google Gemini. Our services include:

• Real-time AI search visibility tracking
• Competitor benchmarking and analysis
• AI-powered growth opportunities and recommendations
• Automated weekly email reports
• SEO audit engine with technical recommendations
• Source intelligence and publication tracking

3. Account Registration and Security

To use CartRank, you must:

• Have an active Shopify store or create a web account via Google OAuth
• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Subscription Plans and Pricing

Billing: Subscriptions are billed monthly through Shopify's billing system or Stripe. Payments are processed securely, and we do not store payment card information.

5. Cancellation and Refunds

• Cancellation: You may cancel your subscription at any time through your Shopify admin or account settings
• Access: Upon cancellation, you retain access until the end of your billing period
• Downgrade: Account automatically downgrades to Starter plan after cancellation
• Refunds: No refunds for partial months or unused features. All sales are final
• Free Trial: Starter plan is free forever with no credit card required

6. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction (including copyright laws)
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Use automated scripts to scrape or collect data from the Service
• Reverse engineer, decompile, or disassemble the Service
• Resell or redistribute the Service without written permission
• Use the Service to spam, harass, or harm others

7. Data Accuracy and Service Limitations

CartRank provides visibility tracking based on queries to third-party AI services (ChatGPT, Perplexity, Gemini). We make reasonable efforts to ensure data accuracy, but:

• AI responses can vary and may not always mention your brand
• Results depend on AI provider algorithms beyond our control
• Tracking is performed at specific intervals, not continuously
• Historical data may be limited for new accounts
• API rate limits may affect real-time tracking speed

CartRank is a monitoring and analytics tool, not a guarantee of AI search rankings.

8. Intellectual Property

Our Rights: All content, features, and functionality of CartRank (including software, text, graphics, logos, and trademarks) are owned by CartRank and protected by international copyright, trademark, and other intellectual property laws.

Your Rights: You retain all rights to your business data, product information, and content you provide to the Service. By using CartRank, you grant us a limited license to use your data solely to provide the Service.

9. Third-Party Services

CartRank integrates with third-party services:

• Shopify: For app hosting and billing
• OpenAI: For ChatGPT visibility tracking
• Perplexity: For Perplexity AI tracking
• Google Gemini: For Gemini visibility tracking
• Stripe: For payment processing (web app)

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, performance, or policies of third-party services.

10. Disclaimers and Limitations of Liability

To the fullest extent permitted by law:

• We do not guarantee uninterrupted or error-free operation
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount you paid in the last 12 months
• We are not responsible for lost profits, data loss, or business interruption
• We do not guarantee specific AI search rankings or visibility outcomes

11. Indemnification

You agree to indemnify, defend, and hold harmless CartRank and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you provide to the Service

12. Termination

By You: You may terminate your account at any time by uninstalling the app or canceling your subscription.

By Us: We reserve the right to suspend or terminate your access to the Service at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Abuse or misuse of the Service

Upon termination, your data will be retained for 48 hours (per GDPR requirements), then permanently deleted.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of CartRank after changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service.
